CONSTITUTION OF ASSOCIATION OF GHANA MUSICIAN LEGENDS (ASSOGHAM "L")

PREAMBLE

We friends, colleagues, mates and associates of the music industry in Ghana and abroad, having been convinced of the need to be united in order to preserve, strengthen and further build on the bond of togetherness and friendship, do HEREBY ADOPT UNTO OURSELVES AND PROMULGATE THIS CONSTITUTION.

ARTICLE 1

The name of the Association (herein called ASSOGHAM) is Association of Ghana Musicians.

ARTICLE 2: VISION

To unite all Ghanaian musicians, take hold of our welfare and take absolute control of what happens in our industry, and get it to become competitive and competent for an international recognition.

ARTICLE 3: MISSION

To elevate the Ghanaian music and its cultural values to the world platform, through education, and bring awareness of the normal Ghanaian citizen and to the world at large. Motivate the musician to be self-sufficient to assist in the socio-economic life of the Ghanaian people.

ARTICLE 4: HEADQUARTERS

The headquarters of ASSOCGHAM shall be located in Accra, Ghana.

ARTICLE 5: AIMS AND OBJECTIVES

To unite all Ghanaian musicians, take hold of our welfare and take absolute control of what happens in our industry, and get it to become competitive and competent for an international recognition.

  • To promote and establish cordial relationship among members.
  • Cooperate and render services that seek to promote the general welfare of members in particular and our association in general.
  • Serve as a forum for entertainment among members.
  • Provide a platform for net effective working and business opportunities among members.
  • Provide a platform for members to build and enhance their social capital.
  • To promote cultural exchange programe, in collaboration with the cultural desk of embassies.
  • To educate, update and motivate members with current developments, including marketing in the music industry both at home and abroad to promote the needed growth in the industry.

To achieve the above aims and objectives we must commit ourselves to

  • Maintaining strong unity, respect and dignity for each other without regard to ethnicity, sex, creed, age, disability, religion, mental, family status and citizenship.
  • Supporting and adhering to the expressions in the constitution adopted and honouring the standards and expectation collectively step-up in following of our vision.

ARTICLE 6: MEMBERSHIP

6.1 In accordance with this constitution a musician means any person wo plays a musical instrument, sings, composes, arranges music or provides any services in the music industry.

6.2 Membership is open to all Ghanaian living in Ghana and abroad and working in the music industry.

6.3 Active Member: - is referred to any registered member who fulfil his obligations and attends activity of the association.

6.4 Temporal Member: - is a person to whom the association has given a period of time in accordance with article 6.6.

6.5 Honorary Members and Patrons: - these are persons who have shown common Course with the association and supported wellbeing of Ghanaian musicians. They will not pay any dues.

ARTICLE 6.6: MEMBERSHIP / QUALIFICATION

1. Membership shall be open to all Ghanaian musicians working in the industry home and abroad.

2. To apply for membership applicant shall

  • Pay a fee upon completion of the ASSOGHAM preferred application forms.
  • Support the application with a recommendation from a member in good standing.
  • An official of ASSOGHAM may audition an applicant.

3. Probation: Probation period is open to all newly admitted members to serve. They may be referred to as Temporary member without rights. All members shall be bound by the constitution.

DUTIES OF MEMBERS

1. No member shall use the name or any logo or trademark of the association or claim to represent ASSOGHAM or speak on its behalf without approval from the president or his representatives.

2. The President or his appointee shall speak on behalf of the Association.

3. No member shall take the Association to court of law without first passing the grievance through the Executive Council.

4 Members are hereby deemed to have appointed the Association to

  • Negotiate on their behalf with the makers and/or users of recordings on which they have performed.
  • Allow any and all necessary consents on their behalf in respect of such users of such recordings.
  • Members should do well to adhere to the aims and objectives of the association.
  • Member should make it a point to update their data as it changes.

RESIGNATION, SUSPENSION OF EXPULSION

1. A member whose conduct is found to be in total violation of the constitution. The disciplinary committee shall call the member in question to order through the following.

  • Warning.
  • Reprimand.
  • Suspension.
  • Expulsion.

2. A member can apply to resign from the Association if there are no outstanding issues with him/her.

3. A member who has been expelled or is no more with the Association can be published if consider expedient.

4. A person who has been suspended lose all privileges.

RESIGNATION, SUSPENSION OF EXPULSION

The President in consultation with the Executive Council will determine what organization to affiliate with both locally and abroad.

GHANAIAN MUSICIANS LIVING ABROAD

They can form branch divisions of the association at their places of residence.

ARTICLE 7: UNION STRUCTURE

The Executive Council shall be the governing structure of the association assisted by the Board of governance.

The Executive Council shall comprise of the follows.

  • President.
  • 1st Vice President.
  • 2nd Vice President.
  • General Secretary.
  • Treasurer.
  • Welfare Officer.
  • Organizer.

The Executive Council will appoint a Youth Organizer, Research fellow, communications fellow and a Fundraising fellow. They can be replicated abroad.

There shall be country coordinators as well.

The Board of Governors shall consist of.

2 members from Ghana 4 from USA 4 Europe they will only play an advisory role.

ARTICLE 8: FUNCTIONS OF OFFICERS

8.1 THE PRESIDENT: shall oversea the administration of the union and implementation of policies.

  • Shall direct and implement activity of the Association and its agencies.
  • Shall preside over all meetings.
  • Shall preside over bargaining contracts and other benefits and rights of members.
  • Shall represent the association at talks, seminars, conferences etc.

8.2 1st Vice President: shall oversea the administration of the union and implementation of policies.

  • Shall assist or act for the President in his absence .
  • Shall coordinate the business of the finance committee.

8.3 2nd Vice President: shall oversea the administration of the union and implementation of policies.

  • Shall act in the absence of 1st Vice President .
  • Shall be responsible for any special duties assigned by the President.

8.4 THE GENERAL SECRETARY: In collaboration with the President administer the secretariat.

  • Shall offer support and supervise the activities of the secretariat.
  • Shall record minutes of meetings, distribute and handle public relations.
  • Shall implement policies laid down by the association and carry out directives of the President and the Executive Council.
  • Shall be a signature to the association accounts.
  • His core functions will be to do all that is necessary for the aims and objectives of ASSOGHAM to be achieved.

8.5 THE TREASURER

  • Shall be responsible for the proper keeping of ASSOGHAM financial records.
  • Shall release budgeting allocations to the secretariat for which provisions is made for.
  • Shall remind and advise members on their annual dues and obligations.
  • Shall assume the financial management of ASSOGHAM.
  • Shall discharge any other duties assigned him by the President.

8.6 WELFARE OFFICE

  • Shall organize humanitarian support for the benefit of ASSOGHAM members, funerals illness, disaster, educate and enhance the welfare of members.
  • Shall formulate and implement such welfares policies that would attract and help the wellbeing of musicians both home and abroad.
  • Shall help members in all matters relating to the pursuit of their musical career.
  • Shall work to mobilize all Ghanaian musicians to belong to ASSOGHAM.

8.7 NATIONAL ORGANIZER

  • Shall facilitate the implementation of plans and programs of ASSOGHAM.
  • Shall coordinate and mobilize members for meetings and programmes .

8.8 LEGAL ADVISER

  • He/she shall be appointed by the Executive Council.
  • Shall advise on all legal matters of ASSOGHAM.
  • He shall prosecute actions of ASSOGHAM or members where legal assistance is needed.
  • Shall advice on arbitrations and disciplinary issues.

8.9 THE ADMINISTRATOR

  • Shall coordinate the relationship between ASSOGHAM as in planning, directing and coordinating the association operations, in the country.
  • Shall coordinate the relationship between ASSOGHAM member’s industry players, stake holder and the media.
  • Responsible for updating the President and The Executive Council progress report of the association on regular basis and provide full monthly, half year and annual reports.
  • Manage the association corporate image.
  • Initiate communication strategies and plans to project ASSOGHAM products and brands.
  • Manage the strategic planning to tactical implementation of activities such as membership, projects, events, yearly concerts in the regions etc.
  • Prepare, manage budget and generate funds sufficient to run the affairs of ASSOGHAM.
  • Provide leadership for ASSOGHAM employees whilst ensuring high discipline at the National Office.
  • Shall implement policies and procedure, to ensure that ASSOGHAM corporate vision, mission and core values are adhering to.

ARTICLE 9: QUALIFICATION FOR OFFICERS

Applicants for an Executive position in the association.

  • Must be sane.
  • No criminal record.
  • Must be a paid up member.
  • Must be literate.
  • Eligibility for and Executive position shall be a minimum of six months continues membership. For the office of President applicants must have held executive Office of the Association successfully for at least One Term.

ARTICLE 10: ELECTIONS/ELECTION COMMITTEE

There shall be an election committee of 10 members appointed by the Executive Council in consultation with the board which shall be dissolved immediately after the elections. The members shall not take part in the elections.

Functions of the Election Committee

  • Define the election procedure.
  • Filing of Nominations.
  • Receive filled Nomination forms.
  • Vet and recommend Nominees.
  • Conduct and supervise the elections.
  • Ensure a free, fair and transparent elections process.

ARTICLE 11: ELECTION/REMOVAL

11.1 Elections to any office shall be by simple majority and secret ballot.

11.2 Each card bearing member in good standing other than temporal and honorary members shall have the right to vote during elections.

11.3 Petition for the removal of any elected Executive Council member shall be endorsed by not less than six members. Not less than three members shall have the right to make a motion for the removal of an elected officer and shall state fully reasons for the removal in written.

  • The respondent shall file his defence within 8 days upon receipts of the charges.
  • No President shall hold office for more than two terms of four years per term.

11.4 Members must hold identification and show proof of good standing before they are allowed to vote.

11.5 Non-members can be employed as professionals but not eligible to stand for elections into any ASSOGAHAM Executive positions.

11.6 Voters shall be card bearing members of ASSOGHAM.

11.7 To qualify to vote, a member must have joined the Association for not less than one year.

11.8 Elections shall be decentralized e.g. Ghana, USA, Europe to allow for easy participation by voting members.

ARTILCE 12: MEETINGS

  • The board shall meet once a year, the President and his appointee will record all minutes.
  • The Executive Committee shall meet every quarter, however the president may convey emergency meeting as and when necessary.
  • The overseas branches shall meet at least once a quarter and may hold emergency meetings when the need arises.
  • The General Secretary shall convene meetings in consultation with the president. The following documents shall be send to all branches.
  • The agenda together with any new proposal form the Executive Council shall be prepared by the General secretary.
  • Treasurer, audit report and activities approved by the Executive Council .
  • The draft budget approved by the Executive Council including proposed amount of dues and other revenue.
  • An emergency meeting shall be held when requested through a resolution by at least (30) thirty members of good standing.

ARTICLE 13: QUORUMS

13.1 The quorum for National Conference and National Executive meeting shall be 50% of delegates or members expected at the conference and council meeting.

13.2 For the Executive Council meeting the quorum shall be five (5)

ARTICLE 14: FUNDING

ASSOGHAM shall raise funds from

  • Dues from members.
  • Grants and donations.
  • Fund raising activities.
  • Special projects, investments and loans.

ARTICLE 15: LEVIES, FEES ETC

  • Fees, levies and subscriptions shall be fixed by the Executive Council in consultation with the board and state when and how it shall be paid by members.
  • Members shall pay appropriate monthly fees/dues to be determined by the Association which is subject to review.
  • All dues shall be paid in full at the end of every month or make advance payment.
  • If any Executive member arrears in dues extend to a period of One (1) year or twelve (12) months without notice, the member shall be withdrawn from the position.

ARTICLE 16: ACCOUNTS

16.1 ASSOGHAM shall open and operate bank accounts.

16.2 Proper books of accounts which must be kept up to date, and ready for verification by members every four (4) months.

16.3 The President secretary or the Treasurer shall sign all cheques and bills of exchange with counter signatures by 1st Vice President or 2nd Vice President.

16.4 Financial books of ASSOGHAM shall be audited annually by J & D auditing firm or any audit firm appointed by the Executive Council at the end of every election year the report shall be submitted to the General Meeting.

ARTICLE 17: ACCOUNTS

17.1 The financial year of the association shall be from 1st January – 31st December of every year.

17.2 A standing Financial Committee shall vast make recommendations on all financial matters of the Association.

17.3 The Financial Committee shall comprise of the followings.

  • The President, 1st Vice, 2nd Vice, General Secretary and the Treasurer, the Association Accountant as well as a member Secretary and three (3) other members chosen by the Executives Council.
  • The Chairperson shall be the President.
  • The Treasure shall submit the accounts of the previous year as well as the budget for the coming year for approval by the Executive Council.

ARTICLE 18: COMMITTEES AND FUNCTION

ASSOGHAM shall set up committees to assist implement policies of the Executive Council made up of the following.

  • Education of ICT
  • Discipline and Arbitration
  • Human resources and Marketing
  • Finance and Administration
  • Business Development
  • Welfare Committee
  • Talent and Research Committee etc.

18.1 DISPLINARY AND ARBITRATION COMMITTEE

  • This committee shall have a legal officer as a member
  • Shall investigate and recommend appropriate sanctions against indiscipline members.
  • Shall express code of ethics to guide members.
  • Shall draw rules to ensure orderliness at meetings.
  • The Chairman shall be appointed by the Executive Council.
  • Investigate cases of indiscipline and breach of ASSOGHAM code of conduct.

18.2 HUMAN RESOURCE/MARKETING

  • Shall produce souvenirs for the association.
  • Shall publish a magazine, open radio and TV stations and discuss about the music industry on the main objective.
  • Shall be responsible for PR duties promotion and publicity functions of the association.
  • Shall organize seminars, workshop on African music and high-life in particular in collaboration with the education committee.

18.3 FINANCE AND ADMINISTRATION

  • Shall help in the raising and management of funds for the Association.
  • Shall assist in the development of annual budget
  • Shall supervise the appointment of an administrator for the association.
  • Shall organize manpower training for ASSOGHAM members.
  • Shall assist the President and the Executive Council in recruiting permanent and temporal staffs.

18.4 WELFARE COMMITTEE

  • Counselling of members
  • Shall assist in the development and implementation of pensions health insurance schemes and funeral of members
  • Shall educate members on welfare matters.
  • Shall assist member in times of illness and bereavement.
  • Shall assist the President and the Executive Council in recruiting permanent and temporal staffs.

18.5 TALENT AND RESEARCH COMMITTEE

  • Shall research into African and hi-life music.
  • Shall keep records of members and their field of specialization.
  • Shall organize yearly festivals across the regions of Ghana.

18.6 BUSINESS/DEVELOPMENT COMMITTEE

  • Shall assist musicians in financial matters relating to their music business.
  • Shall arrange jobs for members.
  • Shall set up recording studies, publishing and facilities relating to our music industry.
  • Shall monitor the usage of the association facilities.
  • Shall negotiate better working conditions for members.
  • Shall seek sponsors for the association programmes.

18.7 EDUCATION AND ICT

  • Shall set up ASSOGHAM ACADEMY OF MUSIC ARTS and CULTURE throughout the regions of Ghana.
  • Shall coordinate and facilitate all training programmes of the association
  • Shall handle the ICT section of the association.

18.8 ADVISORY COUNCIL/BOARD OF GOVERNANCE

  • The Advisory Council/ Board of Governance shall be composed of all past presidents of the association and selected industry players agreed by the Executive Council
  • They shall meet once a year.

ARTICLE 19: MEMBERSHIP WELFARE

  • All correspondence by ASSOGHAM to any foreign mission shall be signed by the President in consultation with the Executive Council.
  • Members reporting home from abroad shall notify the ASSOGHAM office for any assistance e.g. weddings, funerals etc.

ARTICLE 20: INTERPRETATION

  • The Executive Council shall be the final interpreter in all matters in the constitution.
  • A member in good standing is one who has no membership dues arrears for more than 3 months.
  • Membership means membership of the association.
  • Musician means a person who sings, delivers, declaims, play any instrument.

ARTICLE 21: AMENDMENT

  • Amendment of this constitution shall be subject to recommendations made to or by the Executive Council and shall be subsequently approved by two thirds majority of members at an emergency meeting upon given a months’ notice in writing stating the proposed amendment.
  • Any member in good standing for more than a year may propose amendment, but the proposal shall be checked by the Executive Council and action taken upon receipt of request for a meeting on the constitution amendment.
  • The addendum for the propose amendment shall be circulated by the Executive Council 48hr and a meeting shall be convened not less than six weeks upon receipt of the request.

ARTICLE 22: MOTION

Expenditure at the office must be preceded by a voucher verified by an internal auditor or treasurer and duly authorized by the President.
